By using the website or enrolling on the programme, you confirm that you accept these Terms and agree to comply with them. If you do not accept them, please do not use the website or enrol. We recommend you save or print a copy for your records. These Terms are available only in the English language.
2 Eligibility & your account
The programme is intended for working professionals. You must be at least 18 years old to enrol. To access the modules you will create an account on our course platform.
-
You are responsible for keeping your login details confidential and for all activity that takes place under your account.
-
Your account and access are personal to you and are non-transferable. You may not share, sell, or give access to your account, nor allow any other person to use it.
-
You must give us accurate registration information and keep it up to date.
-
If you know or suspect that someone else has your login details, tell us promptly at info@outwitcompany.com.
-
We may disable your account or login at any time if, in our reasonable opinion, you have breached these Terms.
3 Enrolment, pricing & payment
The programme is delivered through our third-party learning platform, LearnWorlds. Payments are handled by our payment processor, [PAYMENT PROCESSOR — e.g. Stripe]. When you enrol, you enter into these Terms with us for access to the programme.
-
Prices are shown at the point of purchase. We may change prices at any time, but changes will not affect enrolments already completed.
-
Prices are stated exclusive of any taxes or duties unless we say otherwise; you are responsible for any such amounts that apply to you.
-
Your enrolment is confirmed once payment is received and we send you access details. We may decline or cancel an enrolment where payment fails, where we suspect fraud, or where we are unable to provide the programme.
-
Module 1 (Marketing Organization) is offered free of charge to anyone who signs up with a valid email address. Free access is still subject to these Terms.
4 Access period & delivery
On enrolment you receive access to the programme for a period of six (6) months from the date of enrolment. Access is time-limited and no extensions are provided, save at our sole discretion. When the access period ends, your access to the modules will close.
-
The programme is delivered online and on demand. You are responsible for the internet access, device and software you need to use it.
-
We aim to keep the programme available at all times but do not guarantee uninterrupted access. We may suspend, withdraw or change all or part of the programme or website — including for maintenance, updates, or reasons outside our control — and we will not be liable to you for any such unavailability, save as required by law.
-
We may update or improve course content from time to time. Content may occasionally be out of date, and we are under no obligation to update every element.
5 Cancellation & refunds
Because the programme is digital content that you access immediately, the following applies:
-
By enrolling and accessing the content, you ask us to begin providing it straight away and you acknowledge that this may affect any cancellation right that would otherwise apply.
-
We do not provide refunds for non-completion of the programme, for change of mind after you have accessed the content, or for failure to use the programme within the access period.
-
Nothing in this section removes any refund or cancellation right you have that cannot be excluded under applicable law.
-
If you believe there is a genuine problem with your purchase or access, contact us at info@outwitcompany.com and we will deal with it fairly. Any goodwill refund is at our discretion and is not a waiver of this section.
6 Certification
The programme is CPD UK Accredited. On meeting the completion requirements — which may include working through the modules and passing the module quizzes — you may receive a Certified Strategic Marketer® certificate.
-
The certificate recognises completion of the programme. It is not a university degree, a professional licence, or a guarantee of any job, promotion, income or business outcome.
-
We may verify completion and may withhold or revoke certification where these Terms have been breached, or where completion or identity cannot be verified.
-
You may not alter, forge, or misrepresent a certificate, or claim certification you have not earned.
7 Our intellectual property
We (or our licensors) own all intellectual property rights in the programme and the website, including the course structure, videos, slides, scripts, quizzes, written materials, graphics, and the frameworks and models as we have expressed and arranged them. All such material is protected by copyright, trade mark and other laws.
“Certified Strategic Marketer®” is a registered mark of The Outwit Company Limited. You may not use our names, marks or logos without our prior written consent.
8 Your licence & permitted use
Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and view the programme for your own individual learning and professional development during your access period.
You may take personal notes and download or print any materials we expressly make available for download, for your own personal, non-commercial study only. All other rights are reserved.
9 Prohibited use & no publication
Except as expressly permitted in these Terms or with our prior written consent, you must not:
-
publish or republish any part of the programme or its materials, in any medium, whether for profit or not — this is not permitted at all;
-
reproduce, copy, distribute, share, broadcast, display or make available any part of the programme to any other person;
-
resell, sub-license, rent, lend or otherwise commercialise any part of the programme;
-
record, screen-capture, download (other than materials we expressly allow), or scrape any part of the programme;
-
use the programme, its materials, quizzes or frameworks to create, deliver or promote your own course, training, publication or competing product;
-
use any part of the programme to train, fine-tune or develop any machine-learning or artificial-intelligence model or dataset;
-
share your login, or provide access to the programme to anyone else;
-
remove, obscure or alter any copyright, trade mark, attribution or other proprietary notice; or
-
use the programme in any way that is unlawful, or that infringes the rights of us or any third party.
PUBLICATION IS NOT PERMITTED
For the avoidance of doubt: no part of the programme, its materials, or the third-party works reproduced within it may be published or republished in any form. If you wish to reference or quote the programme for a legitimate purpose, contact us first at info@outwitcompany.com.
10 Academic sources, third-party works & citation
The programme draws on the work of academics, researchers, authors and established marketing bodies. We treat that work with care, and this section explains how.
How we use third-party works
-
Where we reproduce third-party material — including pre-reads, quotations, figures, data or extracts — we reproduce it faithfully and verbatim, without altering its meaning, and we attribute it clearly to its author and source.
-
We have made every reasonable effort to represent and reference all sources accurately, fairly and clearly, and to acknowledge the original authors of that work.
-
Such material is used for the educational, non-commercial purposes of the programme, consistent with fair dealing and the permitted acts for research, private study, education and quotation under the Copyright Ordinance (Cap. 528) of Hong Kong and comparable provisions elsewhere.
-
All third-party works remain the intellectual property of their respective authors, publishers and rights holders. Their inclusion does not transfer any rights to you, and does not imply that those authors endorse the programme, us, or any view expressed in it.
-
Third-party works are provided to you strictly for your personal educational use within the programme. You may not extract, reproduce, publish or redistribute them separately from the programme (see sections 9 and 8).
Accuracy & corrections
-
While we take great care, we do not warrant that every third-party source is complete, current or error-free, and we are not responsible for the content of the underlying works themselves.
-
If you are a rights holder and believe any material has been attributed incorrectly, reproduced without appropriate permission, or used other than as described here, please contact us at info@outwitcompany.com. We will review the matter promptly and, where appropriate, correct the attribution or remove the material.
11 Acceptable use of the website
You may use the website and programme only for lawful purposes. You must not use them:
-
to introduce any virus, malware, or other harmful code, or to attempt to circumvent any security or access control.
-
to gain unauthorised access to, interfere with, damage or disrupt any part of the website, the platform, or any equipment, network or software; or
-
to introduce any virus, malware, or other harmful code, or to attempt to circumvent any security or access control.
12 Your contributions
If we make community features, comments or discussion facilities available, and you post content (“Contributions”), you must ensure your Contributions are accurate where they state facts, genuinely held where they state opinions, lawful, and not defamatory, offensive, infringing or misleading. You retain ownership of your Contributions but grant us a non-exclusive, royalty-free, worldwide licence to use, store, copy and display them in connection with operating and promoting the programme. We may remove any Contribution at our discretion, and Contributions of other users do not represent our views.
13 Educational purpose only — no reliance
The programme is provided for general education and professional development. It does not constitute professional, legal, financial, or business advice, and it is not tailored to your specific circumstances. You should obtain appropriate professional advice before acting, or refraining from acting, on the basis of the programme. Any decisions you take remain your responsibility.
14 Disclaimers & warranties
We make reasonable efforts to ensure the programme is accurate and of high quality. However, to the fullest extent permitted by law, the programme and website are provided “as is” and “as available”, and we make no representations, warranties or guarantees — whether express or implied — that they will be uninterrupted, error-free, or that the content is accurate, complete or current at any given time, or that any particular result will be achieved. All implied warranties and conditions are excluded to the fullest extent permitted by law.
15 Limitation of liability
Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, or for fraud.
Subject to that, to the maximum extent permitted by law:
-
we shall not be liable for any loss of profit, loss of business, business interruption, loss of anticipated savings, loss of opportunity, goodwill or reputation, or any indirect or consequential loss, arising from your use of, or inability to use, the programme or website, or reliance on any content;
-
we shall not be liable for any loss or damage caused by a virus or other technologically harmful material arising from your use of the website or downloading of content; and
-
our total liability to you arising out of or in connection with the programme, whether in contract, tort (including negligence) or otherwise, shall not exceed the total fees you paid to us for the programme.
16 Indemnity
You agree to indemnify us against any losses, liabilities, costs and expenses (including reasonable legal costs) that we suffer arising from your breach of these Terms, your misuse of the programme, or your infringement of any third party's rights.
17 Data protection & cookies
We process personal data in accordance with our Privacy Policy, which is governed by the Personal Data (Privacy) Ordinance (Cap. 486) of Hong Kong and explains how we use cookies. By using the website you confirm that the information you give us is accurate.
18 Third-party links & platforms
The programme is hosted on LearnWorlds and may contain links to third-party websites and resources, including cited sources. These are provided for your convenience and do not imply our endorsement. We have no control over, and are not responsible for, the content, terms or availability of those third-party sites and platforms, or any loss arising from your use of them. Your use of LearnWorlds and any payment processor is also subject to their own terms.
19 Suspension & termination
We may suspend or terminate your access to the programme or website, without refund, if you materially or repeatedly breach these Terms — including any breach of sections 8, 9 or 10. On termination, the licence granted to you ends and you must stop using, and delete any copies of, the materials in your possession. Sections that by their nature should survive termination (including intellectual property, prohibited use, disclaimers, liability, indemnity and governing law) will continue to apply.
20 Changes to these terms & to the programme
We may revise these Terms from time to time to reflect changes in our practices, our programme, or the law. The version published on this page is the version that applies to your use. Where a change is significant, we will take reasonable steps to bring it to your attention. Your continued use after a change takes effect confirms your acceptance of the revised Terms.
21 Events beyond our control
We are not liable for any failure or delay in performing our obligations that is caused by events outside our reasonable control, including failures of telecommunications or internet services, third-party platform outages, acts of government, or other force majeure events.
22 General
-
Severability — if any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions continue in full force.
-
Waiver — if we do not enforce a provision, that is not a waiver of our right to do so later.
-
Assignment — we may transfer or assign our rights and obligations under these Terms to a third party; you may not transfer yours without our written consent.
-
Entire agreement — these Terms, together with the Privacy Policy and any terms shown at the point of purchase, form the entire agreement between us regarding the programme.
-
No partnership — nothing in these Terms creates any partnership, agency or employment relationship between us.
-
While we take great care, we do not warrant that every third-party source is complete, current or error-free, and we are not responsible for the content of the underlying works themselves.
-
If you are a rights holder and believe any material has been attributed incorrectly, reproduced without appropriate permission, or used other than as described here, please contact us at info@outwitcompany.com. We will review the matter promptly and, where appropriate, correct the attribution or remove the material.
23 Governing law & jurisdiction
These Terms, their subject matter and their formation are governed by the laws of the Hong Kong Special Administrative Region. You and we agree that the courts of Hong Kong shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, except that we may bring proceedings to protect our intellectual property in any competent jurisdiction.
